We reserve the right to modify, suspend, or discontinue any service at any time.

2. Client Responsibilities

Clients agree to:

• Provide accurate and complete project requirements.
• Supply necessary content, credentials, and materials in a timely manner.
• Review and approve deliverables within agreed timelines.
• Ensure that any content provided does not violate applicable laws or third-party rights.

3. Intellectual Property

Unless otherwise agreed in writing:

• 360webagency retains ownership of all pre-existing tools, frameworks, libraries, methodologies, and proprietary technologies.
• Upon full payment, the client receives ownership of the final deliverables specifically created for the project.
• Third-party software, plugins, frameworks, and licenses remain subject to their respective licensing terms.

4. Payments

Payment terms will be defined in individual project agreements or invoices.

Failure to pay may result in:

• Suspension of services;
• Delay of project delivery;
• Removal of hosted resources where permitted by law.

All fees are non-refundable unless otherwise agreed in writing.

5. Confidentiality

Both parties agree to keep confidential all non-public business, technical, and commercial information disclosed during the engagement.

This obligation survives termination of the business relationship.

6. Limitation of Liability

To the maximum extent permitted by law:

• Services are provided “as is” and “as available”.
• 360webagency shall not be liable for indirect, incidental, special, consequential, or punitive damages.
• Our total liability shall not exceed the amount paid by the client for the relevant service.

7. Third-Party Services

Our services may integrate with third-party platforms, hosting providers, APIs, payment gateways, analytics services, and software vendors.

We are not responsible for the availability, security, or performance of third-party services.

8. Termination

Either party may terminate a project or service agreement upon written notice.

Upon termination:

* Outstanding invoices become immediately due.
* Work completed up to the termination date remains payable.
* Access to services may be discontinued.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Switzerland.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of Switzerland.

10. Changes to These Terms

We may update these Terms from time to time.

The updated version will be published on this page with a revised effective date.
